Annex: Termination Cause and Disclaimer Conditions

Contract annex — service-termination conditions and limitation of liability.

Termination Cause

AUTODOCS reserves the right to suspend or terminate services without prior notice under the following conditions:

  • Project duration exceeds the original agreement
    • The service period is defined in the original quotation. If the project is extended beyond 6 months from the agreed service period, an additional service fee of 10,000 THB per month (excluding VAT) will be charged, effective from the 7th month onward, until the service is formally terminated or renewed.
  • Violation of terms of use
    • AUTODOCS reserves the right to delete or restrict access to any data that is unrelated to the project, including personal files, materials from other projects, or any content that infringes on third-party intellectual property rights or violates the law.
    • Any misuse of the platform that impacts the integrity, reliability, or security of the system will be considered a serious breach of contract, and AUTODOCS reserves the right to immediately suspend service without compensation.
  • Change of ownership or project team without prior notice
    • If there is a change in project ownership, data access rights, or user delegation to other individuals or organizations without prior written notice to and consent from AUTODOCS, it shall be deemed a contract violation.
    • The system and data developed under the original project agreement may not be reused, transferred, or applied to any other project or party unless formally authorized by AUTODOCS.
  • Project cancellation, suspension, or loss of contact
    • If the project is canceled, put on hold, or inactive for a continuous period of over 6 months without a clear prior plan to resume or point of contact, AUTODOCS will consider the project as terminated by default.
  • Misuse of the system or actions that pose risks to system security or service reliability
    • Examples of misuse or actions deemed to be malicious or intentionally disruptive include: uploading or storing falsified documents or illegal data; granting system access to individuals unrelated or unauthorized to the project; embedding unauthorized external scripts or integrating with third-party systems without formal approval; continuously uploading a large volume of files or abnormally large files with intent to overload, disrupt, or compromise the system’s performance.
    • If any such behavior is detected, AUTODOCS reserves the right to immediately suspend access to the system and pursue legal action where appropriate.

  • AUTODOCS services are limited strictly to the scope and duration outlined in the official quotation or Agreement, whichever is appropriate.
  • The “project fee” covers the services, period and conditions as noted only in the Agreement.
  • AUTODOCS is not liable nor responsible for any damages resulting from misuse, breach of agreement, unauthorized access, or any faults or mistakes of the User of the services.
  • By accessing or using the AUTODOCS system, the users agree to all terms and conditions stated herein.
Payment Terms

AUTODOCS uses a milestone-based payment model to ensure fairness and confidence for both parties throughout the service period.

  • Optional Incentive:
  • Clients who choose to pay 100% upfront at the time of signing will receive a 5% discount on the total project fee.
Note:
  • All payments must be made within 15 days from the date of invoice. Any outstanding payment for more than 45 days from the invoice date will be subject to 1% interest per month, and services will be suspended until the payment is settled.
  • All prices are exclusive of VAT unless otherwise stated.
